PROVIDER AGREEMENT
This Provider Agreement ("Agreement") is entered into between LuxuStars ("Company"), a luxury travel platform offering accommodations, vehicles, experiences, and watercraft bookings, and the service provider completing the online registration process ("Provider"). This Agreement governs the Provider's use of the LuxuStars platform to offer and deliver products and services to customers worldwide.
1. DEFINITIONS "Platform" refers to the LuxuStars website, software, database, and systems. "Customer" refers to a user who books Provider's product or service via the Platform. "Product" means any accommodation, vehicle, watercraft, or experience made available by Provider for booking on LuxuStars. "Voucher" refers to the confirmation issued by LuxuStars upon successful booking.
2. PROVIDER OBLIGATIONS (a) Provider agrees to list accurate details about their Product, including availability, pricing, features, limitations, and cancellation terms.
(b) Provider must honor all valid Vouchers and deliver services as described.
(c) Provider agrees to communicate professionally with Customers via the Platform’s built-in Message Center.
(d) Provider is required to upload photographic evidence before and after each service delivery through the Message Center. These photos must be submitted promptly and will serve as official documentation of service completion. Failure to provide such evidence may result in payout delays or impact dispute resolution outcomes.
3. SERVICE QUALITY AND DISPUTES (a) Provider shall provide services with reasonable care, skill, and professionalism.
(b) In case of customer complaints, LuxuStars will first attempt to mediate. Provider agrees to cooperate in good faith to resolve any disputes.
(c) If Provider fails to deliver the Product, LuxuStars may issue refunds or take corrective action, including withholding payments or suspending Provider's account.
(d) Guests are encouraged—but not required—to upload photos reporting any defects or confirming satisfaction, which may be considered in dispute resolution.
4. CANCELLATION AND AVAILABILITY (a) Provider must honor LuxuStars-approved cancellation terms and promptly update availability to avoid overbookings.
(b) Last-minute unavailability or refusal to honor a booking may result in penalties, removal of listings, or suspension.
5. PAYMENTS (a) LuxuStars will process Customer payments and remit funds to Provider per the schedule set out in the Provider dashboard.
(b) LuxuStars may deduct service fees, applicable taxes, or chargebacks.
(c) In cases where photographic evidence of service delivery is not provided as required, LuxuStars may delay or withhold payout until the matter is resolved or documentation is submitted. Repeated failure to provide such evidence may lead to suspension or removal from the Platform.
6. TAXES AND COMPLIANCE Provider is solely responsible for determining and fulfilling any tax obligations in their operating jurisdictions.
7. INSURANCE Provider must carry appropriate insurance coverage for the type of Product offered and may be required to show proof upon request.
8. CONTENT AND BRANDING Provider grants LuxuStars a non-exclusive, royalty-free, worldwide license to use images, descriptions, and branding for the purpose of marketing and displaying the Product.
9. DATA AND PRIVACY (a) Customer information provided through the Platform remains the property of LuxuStars. (b) Provider may use such data solely for fulfilling bookings. (c) Provider agrees not to solicit, market to, or otherwise misuse Customer data.
10. TERMINATION (a) Either party may terminate this Agreement with 30 days’ written notice. (b) LuxuStars may immediately suspend or terminate Provider for fraud, repeated complaints, or violation of Platform rules. (c) Upon termination, Provider must honor all existing bookings made before the termination date.
11. LIMITATION OF LIABILITY LuxuStars provides its services "as is." Provider agrees that LuxuStars is not liable for indirect, incidental, or consequential damages.
Provider agrees to indemnify LuxuStars against any claim related to the Provider’s Product, conduct, or violation of this Agreement.
12. GOVERNING LAW AND DISPUTES This Agreement shall be governed by the laws of the State of Delaware, unless otherwise required by local laws.
Any legal disputes will be handled in the courts of Delaware or through another forum as required by local consumer law.
13. GENERAL TERMS (a) This Agreement constitutes the entire agreement between the parties. (b) No third-party beneficiaries are intended. (c) Changes to this Agreement must be made in writing. (d) LuxuStars reserves the right to modify Platform policies with notice.
BY ACCEPTING THIS AGREEMENT ELECTRONICALLY, PROVIDER AGREES TO BE BOUND BY ITS TERMS.
